Terms of Service

Section 1

Agreement to Terms

By accessing or using Moments ("the Platform"), operated by Moments Technologies Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service, our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Platform.

These terms apply to all users of the Platform, including event attendees, event organizers, and door staff.

Section 2

Eligibility

You must be at least 18 years old to create an account, organize events, or purchase tickets on the Platform. By using Moments, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these terms.

If you are accessing the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these terms.

Section 3

Accounts

You must provide accurate and complete information when creating an account. You are responsible for all activity under your account and for maintaining the security of your credentials.

We use passwordless authentication via one-time codes sent to your email. Do not share these codes with anyone. We will never ask for your verification code outside of the login flow.

You must notify us immediately if you believe your account has been compromised. We are not liable for losses arising from unauthorized use of your account where you have failed to maintain its security.

Section 4

Organizer Terms

To host events on Moments, you must apply and be approved as a verified organizer. Approval is at our sole discretion.

  • Verification: You must provide accurate business information including display name, phone number, city, and description. Misrepresentation of your identity or business may result in immediate termination.
  • Pricing: The platform charges a fee on each ticket sold (currently 7%, or 5% for launch partners). Payment processing is included in this fee. Fee rates are confirmed at event approval and remain fixed for the lifetime of that event.
  • Fee model: You choose per event whether the booking fee is passed to the attendee or absorbed from your payouts. This cannot be changed after tickets have been sold.
  • Payouts: Payouts are initiated 2 days after event completion. You must have a verified bank account to receive payouts. Actual settlement timing depends on your financial institution.
  • Event review: All events are reviewed before going live. We may reject events that violate our policies, applicable law, or these terms. Rejected events may be edited and resubmitted.
  • Communication: You are responsible for all communication with your attendees, including responding to enquiries within 3 business days, and promptly notifying ticket holders of any cancellation, postponement, venue change, or material alteration to the event.
  • Refund obligations: You must comply with our Refund Policy, including publishing a refund policy for your event and responding to refund requests within 5 business days. Failure to meet refund obligations may result in Moments processing refunds on your behalf and recovering the cost from your pending payouts.

Section 5

Ticket Purchases

When you purchase a ticket, you are entering a transaction with the event organizer, not with Moments. We facilitate the transaction and provide the ticketing infrastructure.

  • Refunds: Refund policies are set by each organizer and displayed on the event page. If an organizer does not specify a refund policy, tickets are non-refundable by default. See our full Refund Policy for details on your rights and the escalation process.
  • Group tickets: Group ticket purchases (e.g., "Table of 8") generate individual tickets for each member. Each ticket has its own QR code and can be used independently.
  • Ticket transfer: Tickets may be transferred to another person where supported by the organizer. Resale at above face value is prohibited.

Section 6

Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Create fraudulent events or sell counterfeit tickets
  • Attempt to duplicate, forge, or tamper with QR codes or ticket data
  • Interfere with, disrupt, or place unreasonable load on the Platform or its infrastructure
  • Scrape, crawl, or harvest data from the Platform without written permission
  • Resell tickets above face value
  • Impersonate another person, entity, or Moments staff
  • Use the Platform for money laundering, financing of illegal activity, or any form of financial fraud
  • Upload content that is defamatory, obscene, or infringes third-party rights

Violation of these rules may result in immediate account suspension or permanent termination, at our sole discretion.

Section 7

Intellectual Property

The Moments name, logo, branding, and all associated trademarks are our property. The Platform software, design, and content are our intellectual property or licensed to us. You may not copy, modify, distribute, or create derivative works of any part of the Platform without our prior written consent.

Content you upload (event descriptions, images, logos) remains yours. By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute it on the Platform and in connection with promoting your event. This licence ends when the content is removed from the Platform.

Section 8

QR Codes and Ticket Verification

Each ticket is secured with a cryptographically signed QR code. Tampering with, duplicating, or reverse-engineering QR codes is prohibited and may constitute fraud under applicable law.

Our scanner system may operate offline using locally cached guest lists. Scan results are reconciled when connectivity is restored. In rare cases, network delays may cause brief discrepancies between devices — the server record is authoritative once synced.

Section 9

Third-Party Services

The Platform integrates with third-party services including payment processors (e.g., Paystack), cloud infrastructure providers, and email delivery services. Your use of these services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or conduct of third-party services. Any claims arising from third-party services should be directed to the relevant provider.

Section 10

Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or completely secure. We may perform scheduled or unscheduled maintenance that temporarily affects availability.

We do not endorse, guarantee, or assume responsibility for the quality, safety, legality, or accuracy of any event listed on the Platform. We are a technology provider, not an event organizer, promoter, or venue operator.

Section 11

Limitation of Liability

To the fullest extent permitted by law, Moments and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or goodwill, arising from or in connection with your use of the Platform.

Our total aggregate liability for any claims arising under these terms shall not exceed the greater of (a) the fees you paid to Moments in the 12 months preceding the claim, or (b) one hundred US dollars (US$100).

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

Section 12

Indemnification

You agree to indemnify, defend, and hold harmless Moments and its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of or conduct on the Platform
  • Your breach of these terms or any applicable law
  • Your violation of any third-party rights, including intellectual property rights
  • Any event you organize, including claims from attendees relating to the event itself
  • Content you upload, publish, or transmit through the Platform

Section 13

Account Suspension and Termination

We may restrict, suspend, or terminate your access to the Platform at any time if we reasonably believe you have violated these terms, engaged in fraudulent activity, or pose a risk to other users or our operations.

Where possible, we will provide notice and an opportunity to address the issue before termination. However, we reserve the right to act immediately where necessary to protect the Platform or its users.

You may close your account at any time by contacting us. Account closure does not release you from obligations already incurred, including pending payouts, refund responsibilities, or any liability arising from your prior use of the Platform.

Section 14

Force Majeure

Neither party shall be liable for delays or failure to perform obligations under these terms where the cause is beyond reasonable control, including but not limited to natural disasters, pandemic, government action, war, civil unrest, power failure, internet outage, or acts of terrorism.

If a force majeure event continues for more than 60 days, either party may terminate the affected obligations by written notice.

Section 15

Dispute Resolution

Disputes between attendees and organizers should be resolved directly between the parties. We may assist in mediation but are not obligated to do so.

For disputes with Moments directly, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If the dispute is not resolved through negotiation, it shall be referred to binding arbitration administered under the Arbitration and Mediation Act 2023 of the Federal Republic of Nigeria. The arbitration shall be conducted by a single arbitrator in Lagos, Nigeria, in the English language.

Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction to protect its rights pending the outcome of arbitration.

Section 16

Governing Law

These terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

If you are accessing the Platform from outside Nigeria, you are responsible for compliance with your local laws to the extent they apply. If any provision of these terms conflicts with mandatory local consumer protection law in your jurisdiction, that local law prevails to the extent of the conflict.

Section 17

General Provisions

  • Severability: If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect.
  • Entire agreement: These terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Moments regarding use of the Platform.
  • Assignment: You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations without restriction.
  • No waiver: Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
  • Survival: Sections relating to intellectual property, limitation of liability, indemnification, dispute resolution, and governing law survive termination of these terms or your account.
  • Relationship: Nothing in these terms creates a partnership, joint venture, employment, or agency relationship between you and Moments.

Section 18

Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or platform notification at least 14 days before the changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated terms.
